Elaine’s practice encompasses capital markets, M&A, corporate and commercial as well as private investment funds. Notably, Elaine has a strong focus in advising private funds managed by regulated fund managers in their investments of convertible securities issued by entities listed on various exchanges across Asia. She also actively advises cross-border corporate transactions undertaken by public listed companies in Malaysia and Singapore.

Additionally, Elaine also advises clients on general and non-contentious employment matters. To date, Elaine has advised the Malaysian arm of multiple multinational companies and local companies in regard to their general and non-contentious employment matters.

Prior to joining the Firm as a Partner, Elaine practised as a Senior Associate in the corporate division of the ZICO Law Network, covering corporate work in Malaysia and Singapore. Elaine had also practiced in a boutique law firm which is ranked in Tier 2 for Labour and Employment in the Legal 500 Asia Pacific (Malaysia).

Leveraging on Elaine’s exposure to both the Malaysia and Singapore legal landscape, Elaine brings about a broader ability in serving and tailoring the needs of the Firm’s regional clients in the areas of capital markets and corporate commercial.

 

Key Transaction Experience

Capital Market Transactions and M&A exercises

  • Advising regulated fund manager companies on numerous transactions involving the subscription of corporate bond or private debt securities issued by listed entities across Asia involving an aggregate subscription amount of up to USD1.1 billion
  • Advised the Bursa-listed PRG Holdings Berhad on its successful listing of its manufacturing division on the HKEx GEM Market
  • Advising Bursa-listed entities undertaking various corporate exercises including issuance of securities, share capital reduction, rights issue and private placement, amongst others

Employment

  • Advising multiple multinational companies and local companies including a local online news portal on various aspects including but not limited to employment contracts, employee handbook and policies, handling of employee data under the Malaysian Personal Data Protection Act, retrenchment exercises and redundancies, employee issues in an asset/ business sale and dismissals and termination of employment.
  • Advising a payroll and compliance provider headquartered in US on their various employment related matters in their capacity as an “Employer on Record” in Malaysia.
